Wendy represents a diverse range of energy clients, including investor-owned utilities, regional transmission organizations (RTOs), independent generators, investors in transmission infrastructure, and local gas distribution companies before the Federal Energy Regulatory Commission (FERC), the Department of Energy and federal courts. With over twenty-five years of experience, Wendy’s hard work and dedication to her client’s business initiatives has earned her recognition, including being recognized by Chambers USA in 2023 as “very intelligent, experienced and her advice is pragmatic.”

Her practice focuses on rate regulation, energy market rules and operation, open access transmission and interconnection issues, administrative litigation, mergers and acquisitions, enforcement and compliance, and authorizations, as well as representing clients in transactional and project finance matters. Wendy enjoys the challenge of representing clients in numerous multi-party, litigated proceedings at FERC concerning rates (from both the utility and customer perspectives), open access, energy markets, mergers and acquisitions, and interconnections. She excels at counseling clients on a wide variety of transactional and compliance matters, including advising on regulatory structuring for project finance, negotiating and drafting varied contracts such as power purchase agreements, fuel supply agreements, and development agreements, and representing and advising clients in public and non-public FERC investigations and audits.

 

Representing Ameren Corporation and its affiliates before FERC in rate proceedings (including formula rate proceedings), complaints, wholesale market issues, and wholesale distribution issues, and in connection with service agreements, interconnection agreements, and audit and compliance matters.

Successfully petitioned for transmission infrastructure investment incentives for Ameren Transmission Company for two major transmission projects in Illinois with an asset value of approximately $1 billion.

Representing a wind farm developer in obtaining the interconnection of its project to, and transmission service for its project on, a generator tie line owned by two existing wind farms, through a successful petition to FERC for the requested service, briefing to FERC, followed by a negotiated resolution among the parties as to the rates, terms, and conditions for the requested service.

Advising OMERS Administration Corporation in its acquisition of approximately 24% of the membership interests in the holding company of Puget Sound Energy, Inc. and in its acquisition of Leeward Renewable Energy, a leading renewable energy producer in the United States, as well as advising OMERS in regulatory compliance matters related to integrating these interests into its larger energy portfolio.

Advising an investor-owned utility in obtaining the necessary FERC approvals for its subsidiary’s acquisition of wind farms and interests in wind farms, as well as FERC-authorized market-based rates for the subsidiary, and the required FERC approval for affiliate sales of energy from certain of the acquired wind farms.

Representing New Mexico Gas Company in the litigation of major, multi-party gas pipeline rate cases, as well as advising on compliance and commercial and regulatory matters.

Representing Trans Bay Cable LLC in a transmission rate proceeding at FERC.
